Operational due diligence

Financial due diligence tells an investor what the numbers say. Operational due diligence tells them whether the business behind the numbers can actually do what the investment case assumes. We provide investors with an independent, unsentimental read on operational capability, systems, delivery.

Talk to us

PEF Consulting Partners runs operational due diligence with people who have owned the operations afterwards. Our leadership has led merger and acquisition activity at Smart Choice Metering and built and sold businesses of their own, so the diligence tests what the first hundred days will actually reveal.

What we assess

Operational capability

Whether the organisation can actually deliver the plan the investment case depends on. The quality of its operations, its people and its processes, and where the real constraints are.

Systems and technology estate

The state of the systems the business runs on. Where they are a strength, where they are a liability, and what investment they will need. Ageing or fragile systems are a common hidden cost that only surfaces after completion.

Delivery track record

Whether the organisation has a history of delivering the kind of change the value creation plan will demand, or whether that capability has to be built or bought.

Cost and risk behind the numbers

The operational cost and risk that the financial view does not fully capture: deferred investment, key person dependencies, remediation the business has been putting off.

Written to inform a decision

Our diligence is written to help you make a decision, not to confirm one you have already made. If the operational reality does not support the investment case, we say so, clearly, while there is still time for it to matter to the price or the plan.

Frequently asked questions

How does this differ from commercial or financial diligence?

Commercial diligence looks at the market and financial diligence at the numbers. Operational diligence looks at whether the business can execute, which is where a surprising number of investment cases quietly fail.

Can you work to a deal timetable?

Yes. Diligence runs to the deal, and we are used to compressed timetables and confidentiality.
